Effective Date: July 28, 2026 — These Terms constitute a legally binding agreement.

PLEASE READ THESE TERMS AND CONDITIONS CAREFULLY BEFORE ACCESSING OR USING THE SERVICES PROVIDED BY Mena Editors Network (hereinafter referred to as "the Organisation", "we", "us", or "our"). By accessing the Platform, registering an account, submitting a membership application, or completing any payment transaction, you (hereinafter "the Member" or "User") unconditionally accept and agree to be legally bound by these Terms and Conditions in their entirety. If you do not agree to any provision herein, you must immediately cease use of the Platform.

Article 1 — Definitions

Article 2 — Eligibility & Registration

2.1   Membership is open to qualified media professionals and editors who meet the eligibility criteria established by the Organisation. The Organisation reserves the sole and absolute right to accept, refuse, or revoke any membership application at its discretion without obligation to provide justification.

2.2   By submitting a membership application, the applicant warrants that all information provided is true, accurate, current, and complete. Any misrepresentation or omission of material facts shall constitute immediate grounds for application rejection or membership termination without refund.

2.3   The Member is solely responsible for maintaining the confidentiality of their login credentials and shall be held liable for all activities conducted under their account.

Article 3 — Membership Fees & Payment Obligations

3.1   All Fees are stated in United States Dollars (USD) and are due and payable in full prior to activation of membership benefits or access to paid Services.

3.2   Payment obligations arise upon submission of an application or enrollment in a Service. Failure to complete payment within the specified period shall result in automatic cancellation of the application or enrollment.

3.3   All payment transactions are processed by third-party payment processors (Stripe and/or PayPal). The Organisation does not store, transmit, or have access to the Member's card/account credentials. By proceeding with payment, you also agree to the applicable terms of the respective payment processor.

3.4   The Organisation reserves the right to modify its Fee schedule at any time with reasonable notice. Fee changes shall not affect transactions already completed.

Article 4 — Membership Rights & Obligations

4.1   Active Members are entitled to the benefits associated with their membership tier as described on the Platform at the time of registration.

4.2   Members undertake to comply with the Organisation's professional code of conduct, to refrain from any activity that brings the Organisation into disrepute, and to promptly notify the Organisation of any changes to their professional status or contact information.

4.3   Membership is personal and non-transferable. Members may not assign, sublicense, or otherwise transfer their membership rights to any third party.

Article 5 — Suspension & Termination

5.1   The Organisation may, at its sole discretion and without prior notice, suspend or permanently terminate a Member's account in the event of: (i) breach of these Terms; (ii) provision of false information; (iii) conduct deemed prejudicial to the interests or reputation of the Organisation; (iv) non-payment of applicable Fees; or (v) any act contrary to applicable law.

5.2   Upon termination, the Member's right to access the Platform and all associated benefits shall cease immediately. No refund of previously paid Fees shall be due unless expressly provided under the Refund Policy.

Article 6 — Intellectual Property

6.1   All Content on the Platform, including but not limited to logos, trademarks, certificates, course materials, reports, and databases, constitutes the exclusive intellectual property of Mena Editors Network and is protected under applicable copyright, trademark, and intellectual property laws.

6.2   No Content may be reproduced, distributed, publicly displayed, modified, or commercially exploited in any form without the prior express written consent of the Organisation. Any unauthorised use shall constitute an infringement and may give rise to civil and/or criminal liability.

6.3   Membership certificates issued by the Organisation are personal documents and may not be altered, forged, or presented in a misleading manner. Fraudulent use of certificates shall result in immediate membership termination and may be reported to competent authorities.

Article 7 — Limitation of Liability & Disclaimer of Warranties

7.1   THE PLATFORM AND ALL SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT ANY WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

7.2   TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE ORGANISATION SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE PLATFORM OR SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

7.3   The Organisation's total aggregate liability to any Member for any claim arising under or in connection with these Terms shall not exceed the total Fees paid by that Member in the twelve (12) months immediately preceding the event giving rise to the claim.

Article 8 — Privacy & Data Protection

The collection, processing, and storage of personal data provided by Members is governed exclusively by our Privacy Policy, which is incorporated herein by reference and forms an integral part of these Terms.

Article 9 — Amendments

The Organisation reserves the right to amend, modify, or update these Terms at any time. Continued use of the Platform following notification of such changes shall constitute your acceptance of the revised Terms. It is your responsibility to review these Terms periodically.

Article 10 — Governing Law & Dispute Resolution

10.1   These Terms and any dispute or claim arising out of or in connection with them shall be governed by and construed in accordance with the laws of the jurisdiction in which the Organisation is incorporated, without regard to its conflict of law provisions.

10.2   In the event of any dispute, the parties shall first attempt in good faith to resolve the matter through direct negotiation within thirty (30) days of written notice. If unresolved, the dispute shall be submitted to the exclusive jurisdiction of the competent courts of the Organisation's registered jurisdiction.
